Real Estate & Public-Private Partnerships

Pacifica lawyers support some of the most important public/private partnership projects throughout the region and represent significant public and private clients in real estate leasing, transactions, and development.

Public-Private Transactions

Our public/private practice, led by partner Gerry Johnson, has represented for-profit and not-for-profit private entities in projects with substantial public participation as well as numerous governments and special purpose public entities in major dealings with the private sector. Our projects include long-running representation of the historic Pike Place Public Market in matters such as its current comprehensive renovation; the development, financing and construction of Safeco Field on behalf of its public facility district owner; the recovery of Seattle’s retail core anchored by Pacific Place for the private developer of that project; the development and financing of the Seattle Art Museum’s downtown museum, its more recent expansion and the creation of the Olympic Sculpture Park; and waterfront redevelopment projects in Tacoma and Bellingham. Recently, Pacifica lawyers have supported the Washington State Public Stadium Authority in successful negotiations to replace parking lost to it with the impending redevelopment of the north portion of the CenturyLink Field campus.

Pacifica lawyers also have unparalleled experience in transitioning entrepreneurial and special purpose public functions to not-for-profit and special purpose governmental management, including transfer of the Woodland Park Zoo to management by the Woodland Park Zoological Society and transfer of the Washington State Convention Center from State control to a special purpose public facility district formed by King County. The firm is currently working on several other such projects. The public/private practice also has broad experience supporting the development of major facilities and other projects for cultural institutions including the Museum of History & Industry’s recent move to the historic Armory in Lake Union Park, and the continued development of the Museum of Flight.

Our varied experience spans leases as small as a food truck or an ATM, and as large as a multi-building corporate campus or build-to-suit distribution center in excess of 1,000,000 square feet. We are leasing counsel to some of the top institutional landlords in the county, overseeing a portfolio of over 5,000,000 square feet in Washington State. We are often called on by our clients to assist with administering commercial leases, including matters such as CAM disputes, subleasing/assignment issues, holdover issues and tenant financing requests. Our clients include public institutions, local and institutional landlords, and national and regional companies. Our representation of both landlord and tenant clients, on a national basis, provides us with significant insight into market terms and conditions. We often support our clients as a team, enabling us to respond quickly to client matters and to better understand business needs driving real estate decisions.

Real Property Management, Acquisitions and Dispositions

We represent borrowers, developers, and property owners in managing, acquiring or disposing of commercial and public properties. Our clients look to us for advice on all aspects of owning and managing commercial real estate, including resolving landlord and tenant disputes, interpreting contract provisions and analyzing title issues. Pacifica lawyers are experienced in performing due diligence evaluations, including detailed title and survey review, for purchases of individual properties, as well as multi-property portfolio acquisitions. We regularly assist clients in drafting and negotiating purchase and sale agreements, licenses, covenant agreements, private and public easements. We also review and/or prepare financing and closing documents and help to meet our clients’ goals by efficiently managing the closing process.
